The Articles of Association was adopted at the Annual General Meeting the 22nd of May, 2017.
The name of the company is myFC Holding AB (publ).
The Board of Directors is registered in Stockholm Municipality.
The company conducts, both directly and indirectly, the development, manufacture and sale of micro fuel systems, as well as conducting other related business.
Share capital is a minimum of SEK 750,000 and a maximum of SEK 3,000,000.
The number of shares is a minimum of 12,825,000 and a maximum of 51,300,000. All shares are of the same type.
The Board of Directors consists of a minimum of 3 and a maximum of 8 members without deputies.
The company has one to two auditors with or without deputies or a registered auditing firm.
Notice of company general meetings is given by advertising in Post- och Inrikes Tidningar and on the company’s website, as well as by advertising in the newspaper Svenska Dagbladet that notice has been given.
Notice of Annual General Meetings and Extraordinary General Meetings to address changes to the articles of association must be issued no earlier than six weeks and no later than four weeks before the general meeting. Notice of other Extraordinary General Meetings must be issued no earlier than six weeks and no later than two weeks before the general meeting.
In order to attend a general meeting of the company, shareholders must be both listed in the transcript of the entire shareholder register detailing circumstances five days before the meeting, and must notify the company of their attendance and state the number of accompanying advisors no later than the date of the meeting stated in the notice. Such date may not be a public holiday, Saturday, Swedish Midsummer’s Eve, Christmas Eve or New Year’s Eve and may not fall earlier than five working days before the meeting.
Shareholders may be accompanied by one or two advisors at general meetings, but only if the shareholder has notified the company of this as per the previous paragraph.
The Annual General Meeting shall be held within six months of the end of the financial year.
